• Rooted Fundamentals – Product Development Terms

    These Product Development Terms outline the conditions under which Rooted Fundamentals (“we”, “us”, or “our”) provides product development, white-label creation, and customised corporate product services. By engaging our services, you (“the Client”) agree to the following terms:

    1. Scope of Work

    Rooted Fundamentals provides product ideation, formulation, packaging development, sourcing, branding, and production support.

    All deliverables, timelines, and responsibilities will be outlined in the approved proposal or quotation.

    Any additional requests outside the agreed scope may attract extra fees and extended timelines.

    2. Payment Terms

    A non-refundable deposit is required to begin any development work.

    Payment milestones will typically follow:

    50% deposit to begin → 25% before production → 25% before final delivery.

    (Unless otherwise agreed in writing.)

    Work will not proceed without the required payments being cleared.

    3. Minimum Order Quantities (MOQ)

    Each product category may carry an MOQ based on materials, packaging, and production requirements.

    Final MOQs will be confirmed during the development stage and must be accepted before production.

    4. Development Timelines

    Timelines depend on product type, supplier availability, approvals, and production capacity.

    Delays caused by the Client (e.g., late feedback, slow approvals) will extend overall delivery timelines.

    Rush orders may be available at an additional fee.

    5. Samples & Prototypes

    Sample creation may attract additional fees.

    Approval of samples must be provided in writing before any batch production begins.

    Once samples are approved, Rooted Fundamentals cannot be held liable for variations arising from manufacturing tolerances.

    6. Client Responsibilities

    The Client agrees to:

    Provide timely feedback, approvals, and required brand materials (logo, fonts, colours, etc.).

    Ensure that any content, design, or branding provided is legally owned and does not infringe on any third-party rights.

    Communicate via the agreed channel and respect project timelines.

    7. Intellectual Property

    All formulations, templates, designs, sourcing lists, and development documents created by Rooted Fundamentals remain our intellectual property unless a formal IP transfer agreement is signed.

    Clients are granted a licence to use final approved assets for their products only.

    Reproduction, resale of formulas, or sharing of supplier details is prohibited.

    8. Regulatory Compliance

    Rooted Fundamentals provides guidance on best practices for safe product creation.

    The Client is responsible for ensuring compliance with any necessary certifications, registrations, or regulatory requirements in their operating region (e.g., NAFDAC where applicable).

    Products chosen specifically to avoid regulatory approval will be clearly stated.

    9. Quality Control & Production

    We work with trusted suppliers, but manufacturing outcomes may vary slightly due to natural materials and batch differences.

    Final quality checks are performed before delivery.

    Once delivered, handling and storage become the Client’s responsibility.

    10. Refunds & Cancellations

    Deposits and development fees are strictly non-refundable.

    Cancellation after work has begun will incur charges based on work completed and materials already purchased.

    No refunds will be issued for customised products after approval.

    11. Delivery & Shipping

    Delivery timelines will be communicated once production begins.

    Shipping or dispatch fees may apply and will be stated on the final invoice.

    Rooted Fundamentals is not liable for courier delays or damage caused during transit.

    12. Confidentiality

    Both parties agree to maintain confidentiality on all proprietary information shared during the development process.

    Rooted Fundamentals may display final products for portfolio purposes unless the Client requests otherwise in writing.

    13. Amendments

    Adjustments to the Scope of Work or any terms must be agreed in writing.

    Rooted Fundamentals reserves the right to update these terms at any time.
